Project Finance
We provide all assistance required for the structuring, negotiation and implementation of project finance transactions in Brazil. Our team is formed by highly specialized attorneys who are familiar with all aspects of the transactions, most of whom with post-graduate degrees and international experience acquired while obtaining masters degrees in the most prestigious U.S. and European institutions or working as International Associates at renowned law firms in New York and other major financial centers. Our project finance group works in coordination with attorneys from other areas of the firm such as tax, regulated industries, environmental law, banking and structured finance and corporate law. Additionally, we have been engaged in transactions related to all infra-structure sectors, including power, oil and gas, sanitation; toll-roads, ports, railways; telecommunications and agribusiness. - assistance in creating structures that are efficient from a regulatory and tax perspective;
- performing full due diligence in connection with projects;
- drafting and negotiation of all agreements relating to the implementation of infra-structure projects, such as EPC contracts; operation and maintenance agreements, off-take agreements, fuel supply agreements and performance bonds;
- drafting and negotiation of all financing documents, such as loan facility agreements, sponsor support and account management agreements;
- structuring and implementation of local collateral package, including drafting and negotiation of corresponding agreements and perfection of security;
- advice as to general compliance with specific laws and regulations, including environmental; and
- compliance with foreign exchange controls.
